Delivery Hero’s board has signed off on Uber’s $15 billion takeover offer and recommended shareholders approve the deal, which would create one of the largest on-demand food delivery platforms in the world. Delivery Hero 董事会已签署 Uber 150 亿美元的收购要约，并建议股东批准该交易。此举将打造出全球最大的按需食品配送平台之一。
After reviewing the offer, Delivery Hero’s supervisory and management boards said it was in the best interests of the company, its shareholders, employees, and other stakeholders. The boards also deemed that the price was “fair and adequate” and said the deal had the “potential to accelerate product innovation.” 在审阅了该要约后，Delivery Hero 的监事会和管理委员会表示，此举符合公司、股东、员工及其他利益相关者的最佳利益。董事会还认为该价格“公平且合理”，并表示该交易“有潜力加速产品创新”。
The deal, if approved, would double Uber’s global footprint and make its delivery platform one of the largest in the world outside of China. Uber, which was already the largest shareholder in Delivery Hero, set a minimum acceptance threshold of 50%, plus one share of Delivery Hero’s outstanding share capital. Prosus, another major shareholder, has agreed to sell its 17% stake in Delivery Hero as well, according to the announcement. 作为 Delivery Hero 最大的股东，Uber 设定了最低接受门槛，即 Delivery Hero 已发行股本的 50% 外加一股。据公告显示，另一大股东 Prosus 也已同意出售其持有的 Delivery Hero 17% 的股份。

The tie-up is the latest example of consolidation in the on-demand delivery industry.
